Article Submission Agreement & Terms of Use
By submitting your article ("Article") to this Site, you ("Author") agree to these terms and conditions. The Wallace-Wright Group, LLC (WWG) reserves the right, in its discretion, to change or modify all or any part of this agreement at any time, effective immediately upon publishing such changes or modifications. If Author does not agree, then Author should not submit any Article to this Site.
The Article
By submitting an Article to WWG, Author represents that Author has full rights to send us the Article and that sending us the Article for publication on the Site will not violate or infringe the rights of any third person or party, including but not limited to, rights in copyrights, patents, trademarks, service marks, trade secrets or other proprietary rights. Author also represents and understands that Author will not receive any form of compensation from the Site for the Article Author is submitting. Author further understands that submission of any Article to the Site does not in any way guarantee the Article will be published or appear on the Site.
Author grants to WWG the worldwide and perpetual right to electronically publish and distribute the Article in all versions of the Site in any language and the right to translate and electronically publish and distribute the Article to other sites owned by or under license or contract with The Site;
WWG may delete any Article at any time, without any notice to the Author.
Author Represents and Warrants that:
Author is over 18 years of age.
Author is the sole author and owner of the Article and has the full power and authority, free of any rights of any nature whatsoever by any other person or party, to enter into this Agreement and to grant the rights, which are being granted by this Agreement.
The Article does not and if published on the Site, will not infringe upon any copyright or any proprietary right at common law or otherwise.
The Article is based on true facts and diligent research.
Author will not enter into any subsequent Agreement or understanding with another person or entity which might conflict with the rights granted to The Site under this Agreement regarding the Article.
The Site is under no obligation to publish Author's submitted Article.
Author Further Represents That Author Will:
Disclose any pecuniary or non-pecuniary interest Author may directly or indirectly, have in any security, company, or financial product, which is the subject matter of the Article. If a member of Author's family, or an entity in which Author is a shareholder has a pecuniary or non-pecuniary interest in the security, company, or financial product that must be disclosed as well.
Not make any statement that Author knows, or should have reason to know is untruthful and/or unlawful.
Not submit any Article that is defamatory, libelous, obscene, or in violation of any law.
Not submit any Article that contains any viruses, "worms", "trojan horses" or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
Disclose Author's true identity and not impersonate any person or entity, or misrepresent your affiliation with any person or entity;
Not upload, post, email or otherwise transmit any Article that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
Not intentionally or unintentionally violate any applicable local, state, national or international law;
Not publish the Article in violation of this Agreement. Author agrees to cooperate with WWG in its defense of any action related to the Article. In addition, you agree to indemnify and hold WWG harmless from any and all claims, losses and expenses that are a result of your breach of the foregoing representations.
Termination Of Service:
The Site reserves the right, in its sole discretion, to restrict, suspend, or terminate the Site at any time, for any reason without prior notice or liability. WWG may change, suspend, or discontinue all or any aspect of The Site at any time.
Indemnification:
UPON REQUEST BY WWG, AUTHOR AGREES TO DEFEND, INDEMNIFY, AND HOLD HARMLESS WWG, ITS MEMBERS, EMPLOYEES, SUBCONTRACTORS, SUBSIDIARIES, VOLUNTEERS, LISCENSORS, AGENTS, OR OTHER AFFILIATED COMPANIES (INCLUDING OTHER WWG CLIENTS), AND THEIR EMPLOYEES, CONTRACTORS, OFFICERS, AND DIRECTORS FROM ALL LIABILITIES, CLAIMS, AND EXPENSES, INCLUDING ATTORNEY'S FEES, THAT ARISE FROM THE AUTHOR'S ARTICLE USE AND PUBLICATION ON THIS WEB SITE.
WWG RESERVES THE RIGHT TO ASSUME THE EXCLUSIVE DEFENSE AND CONTROL OF ANY MATTER OTHERWISE SUBJECT TO INDEMNIFICATION BY YOU, IN WHICH EVENT AUTHOR WILL COOPERATE WITH WWG IN ASSERTING ANY AVAILABLE DEFENSES.
Limitation of Liability:
UNDER NO CIRCUMSTANCES SHALL WWG, ITS MEMBERS, EMPLOYEES, SUBCONTRACTORS, SUBSIDIARIES, VOLUNTEERS, LICENSORS, AGENTS, AFFILIATED COMPANIES (INCLUDING OTHER WWG CLIENTS), AND THEIR EMPLOYEES, CONTRACTORS, OFFICERS, AND DIRECTORS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES THAT RESULT FROM
- THE AUTHOR'S ARTICLE
- THE DISCLOSURE OF, OR CORRUPTION, OR ERASURE OF, DATA TRANSMITTED OR RECEIVED OR STORED ON ANY HOST SERVER ASSOCIATED WITH THE WEB SITE, INCLUDING CREDIT CARD OR OTHER FINANCIAL TRANSACTIONS.
- THE USE OF ANY OTHER MATERIALS OR SERVICES PROVIDED, OR PROMISED TO BE PROVIDED.
- ANY OTHER ACTIVITIES ASSOCIATED WITH THE CREATION OR USE OF THIS WEB SITE.
THIS LIMITATION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF WWG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
NOTWITHSTANDING THE ABOVE, CLIENT'S EXCLUSIVE REMEDIES FOR DAMAGES, LOSSES AND CAUSES OF ACTIONS WHETHER IN CONTRACT, TORT INCLUDING NEGLIGENCE OR OTHERWISE, AND WHICH ARE DIRECTLY RELATED TO WORK PERFORMED BY WWG, SHALL NOT EXCEED THE EXACT DOLLAR AMOUNT OF FEES, IF ANY, PAID TO WWG.
Choice of Law and Forum
This AGREEMENT shall governed by and construed in accordance with the laws of the Commonwealth of Virginia, excluding its conflicts of law rules. You expressly agree that the exclusive jurisdiction, for any claim or action arising out of or relating to goods or services provided under or in relation to this AGREEMENT, shall be filed only in the state or federal courts located in the Commonwealth of Virginia, and further agree and submit to the exercise of personal jurisdiction of such courts for the purpose of litigating any such claim or action.
Severability
If any part of this AGREEMENT is held invalid or unenforceable, that portion
shall be construed in a manner consistent with applicable law to reflect,
as nearly as possible, the original intentions of the parties, and the
remaining portions shall remain in full force and effect.
This agreement may be changed without notice. The user agrees to be bound by the current version of this document.
